TERMS AND CONDITIONS
				
The applicant shall act as an Independent promoter, hereinafter referred to as INTELLIGENTSIA For HUMAN EXCELLENCE TRAINING CENTRE PVT. LTD. hereinafter referred to as the said �Company�. The Company has the option to reject any Application without assigning any reasons and the decision of the Company shall be final and binding. The duly completed PRODUCTS/SERVICES & Relationship Form together with the Rules and Regulation and Code of Ethics. Policies and Procedures constitute an INTELLIGENTSIA Agreement (�Agreement�) between HUMAN EXCELLENCE TRAINING CENTRE PVT. LTD. and the Applicant(s) whose signature and other identification data appear overleaf.

General

The promotional Opportunity is purely optional and INTELLEGENTSIA is not compelled to bring or sponsor any other Training Club. He / She can do so if they wish for their own gain. Training Club hereby confirms that he/she has entered into this Agreement as an Independent promoter. Nothing in this Agreement shall establish as employment, or any other labour relationship between the Training Club and the Company, and nothing shall establish the Training Club position as a partner, procurer, broker, and / or representative of the Company. When promoting the Company's services, the Training Club member shall act as an independent promoter, acting in his/her own name, at his/her own responsibility and for his/her account and the Company shall not be liable for the same. Training Centre hereby agrees to become the Company's Training Club and to participate in its Compensation Plan as chosen by him / her which is understood by him / her in English language & agree to abide with the same. Training Club will renew its membership annually on or before seven days from the date of expiry. Non-Compliance of the same will be treated as termination of the Training Club Agreement. The Company will not be responsible for any acts of the members of the Training Club. The members of the Training Club will not use the Company Trade name or trademark except in the advertisement provided to The Training Club by the Company or by the written consent by the Company. Training Club is however permitted to promote the same through his / her personal contacts & word of mouth. The Company shall as and when required at its option and sole discretion amend the Rules, Regulation, Policies & Procedures and Terms & Conditions of this promotion Relationship and shall notify any amendments, alterations, deletions or additions by updating in the Rule Book and / or its Website. It is the Training Club's responsibility to keep track of the same. During maintenance or up gradation of the software / website the offline data shall be regarded on the valid and correct data.

Marketing(products/Service)

Every person who desires to enrol as a member of the Training Club must ensure that the payment is made directly to the company account or deposited to his sponsor or to any person for the purpose of enrolment shall do so entirely at his sole risk and the company shall not incur liability of any of nature for such payments made. Enrolment as a promoter does not authorize the promoter to collect any money from any person he desires to bring or sponsor as a member of the Training Club. The company shall incur no liability for any money so collected. If the Pin / Training Club number is obtained from the UP line all responsibility arising from the same will be of the Up line concerned and the company shall incur no liability. The promoter may in writing exercise the option of availing the facility of utilizing the funds lying balance in the e-wallet. The company shall however not be responsible for any consequences arising from any misuse/mischief/fraud caused by reason of any person having unauthorised access to the e-wallet or negligence in handling the e-wallet.

Products/Services claim The Company's Promotion TRAINING CLUB MEMBERSHIP will be delivered only on receipt of the application form, in original and is obtained by TRAINING CLUB for all purpose. Every promoter must within one year of generation of Training Club membership make a written claim with the company for the TRAINING by him. Subject to availability the company shall give the TRAININGS to the promoter. Unless the claim is made the company shall incur no liability.
 Payments & Deductions

No TDS Certificate can be issued unless duly self-attested photo copies of the PAN Card, Age proof certificate and Bank Account details are furnished to the company. There will be an auto deduction from the payout of every distributor of towards software maintenance charges, Charity and TDS as applicable. The Company will make all payments on account of commission and/or incentives by depositing the said amount into the Applicant's Account only after deduction of all applicable fees and statutory requirements as governed by the law of the land. The distributors may in writing exercise the option of availing the facility of Pay card. The Distributor alone shall be responsible for all or any loss, liability or expenses caused by negligence in handling the pay card or any mischief / fraud caused by any third party who may have access to the pay card.

Termination & Jurisdiction

All disputes are subject to Cochin Jurisdiction. The Company can terminate this relationship with the members of Training Club at any time (with assigning any reasons to the Applicant for the same), if the Company is of the opinion that the provisions of the Rules of Conduct are not being followed and /or any anti-Company activities are being carried out. . 

DECLARATION BY APPLICANT

 	I, the undersigned, confirm that I have completed 18 yrs of age. I understand that a purchase of promotional products/services, as listed on the website will make me eligible for a relationship as an Independent Business Distributor with the Company. My TC relationship cannot be transferred sold, assigned to any person without the prior written consent of the company. I am responsible to pay all my applicable taxes from time to time and the Company will not be held liable for the same. I have no objection and  I agree to the Company deducting tax at source from my weekly / monthly accrual cheque as per rates prescribed under the Income Tax Act, 1961  or pay the same as prescribed under any other law for the time being in force or any modification thereof. 
I confirm that the information set forth is accurate to the best of my knowledge and belief and have read, understood and hereby agree to the terms and conditions given in this form and those prevalent / updated on the Company's website, a copy of which has been made available to me by my Sponsor.  I also confirm and agree to abide by such Terms and Conditions modified or amended by the said Company from time to time.
